We are pleased to formally engage you as a “Business Consultant” for smartData Enterprises FZCO, a global IT services provider with over 25 years of proven success in custom software development across healthcare, finance, logistics, and enterprise domains.
This engagement is based on the following terms:
- Scope of Engagement
You will act as a non-exclusive business consultant, introducing prospective clients within your network, particularly in the UAE and MENA region, to smartData Enterprises FZCO.
- Your Responsibilities
- Identify and Introduce Qualified Leads
- Leverage personal and professional networks to identify businesses or decision-makers who could benefit from smartData’s IT services.
- Provide warm introductions via email, LinkedIn, or in-person to initiate conversations.
- Basic Qualification of Leads
- Ensure the referred prospects have a genuine interest, budget, and need for digital transformation or software solutions.
- Gather basic information about the prospect’s requirements before introducing them to smartData.
- Maintain Professional Conduct
- Represent smartData Enterprises in a professional, ethical, and truthful manner at all times during interactions with potential clients.
- Avoid making commitments or representations on behalf of smartData unless approved in writing.
- Local Market Insights
- Provide input on local business culture, client expectations, and potential partnership strategies that can help in better positioning smartData’s offerings.
- Collaboration and Communication
- Stay in periodic contact with smartData’s sales or partnership team to share updates on referred prospects or opportunities.
- Respond to follow-ups related to referrals when needed, especially during early stages of discussion.
- Non-Disclosure and Confidentiality
- Protect the confidentiality of any sensitive information shared by smartData or its clients.
- No Involvement in Delivery
- The consultant will not be responsible for project execution, technical discussions, pricing, or negotiations unless explicitly requested and agreed upon.

Responsibilities of smartData Enterprises
- Handle the entire sales cycle, client engagement, project execution, and post-delivery support.
- Maintain transparency and provide regular updates on client progress and invoicing status for referred opportunities.
- Ensure high-quality service delivery to uphold the reputation and trust built through your referrals.

Commission Structure
- You will receive 10% commission on net receivables (excluding taxes or third-party costs) from any new client introduced by you and successfully converted by smartData Enterprises.
- This commission will be applicable for a period of 12 months from the date of first invoicing for each referred client.
- Payments will be made quarterly, following realization of payments from the referred client.

Confidentiality
Both parties agree to maintain the confidentiality of business information shared during the course of this engagement.

Term and Termination
- This engagement shall remain in effect unless terminated by either party with 30 days’ prior written notice.
- Any outstanding commission from clients already onboarded will be honoured as per the agreed timeline.
